    What is the difference between a deed and registration?

    The deed is the document drawn up at a notary public’s office that formalizes the transaction. However, the property only becomes the buyer’s upon registration of the deed in the Real Estate Registry (Civil Code, Art. 1,245). An unregistered deed does not transfer ownership.

    When is a notarized deed required?

    For real estate transactions valued at more than 30 minimum wages (Civil Code, Art. 108). There are exceptions provided for by law, such as contracts under the Housing Finance System and fiduciary sales, which may be executed by private instrument with the same legal effect as a notarial deed.

    What is a full-text certificate of real encumbrances?

    It is an up-to-date copy of the property’s title deed, including its full history: owners, mortgages, fiduciary sales, liens, and other encumbrances. It is the first document to be reviewed before any offer is made.

    How long is the certificate of encumbrances valid for the deed?

    For the preparation of the deed, the certificate of encumbrances must have been issued no more than 30 days prior (Decree No. 93,240/1986, Art. 1, IV). For this reason, it is usually the last document to be requested.

    Who pays the ITBI, and when?

    As a general rule, the buyer is responsible, in accordance with each municipality’s laws. The Federal Supreme Court (STF) has ruled (Case No. 1,124) that the taxable event for the ITBI tax is the transfer of title at the Real Estate Registry. In practice, notary offices and city halls have their own procedures: be sure to confirm these before scheduling the deed signing.

    Can you take an inventory at a notary's office?

    Yes, when the heirs are in agreement and represented by an attorney (CPC, Art. 610). Since the adoption of CNJ Resolution No. 571/2024, extrajudicial probate has also been possible in cases involving minor or legally incapacitated heirs, under specific conditions.

    Can adverse possession be registered at a notary's office?

    Yes. Extrajudicial adverse possession is processed at the Real Estate Registry, with the assistance of an attorney, a notarial deed, and a site plan and survey report signed by a licensed professional (Law No. 6,015/1973, Art. 216-A).

    Is it safe to buy a property based solely on a "draft contract"?

    No. Without registration, the buyer is not considered the owner with respect to third parties: the property may be seized to satisfy the seller’s debts, resold, or become subject to probate. If this is your situation, there are ways to resolve it.

    What is real estate due diligence?

    It is an audit of the property and the seller prior to the transaction: property registration, judicial, tax, labor, and protest certificates, as well as any debts associated with the property and its zoning status. The result is a report detailing the risks and conditions necessary to safely close the deal.

    More than two decades of experience in the real estate and notary markets. He served as acting head of the 3rd Notary Office of Barra Mansa between 2009 and 2015 and, subsequently, as head of operations at the same office for 9 years, in addition to serving as acting head at the 3rd Notary Office of Resende. He holds an MBA in Business Management from FGV. He leads the identification and structuring of real estate projects, partnerships, and corporate transactions at Tettu.
